Terms of Service

These Terms of Service ("Terms") govern your access to and use of Auto AI Studio's websites, web applications, mobile applications (iOS and Android), APIs, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) Eligibility & Accounts
1.1 Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under 18, you represent you have parental/guardian consent.
1.2 Account
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.
1.3 Organizational Use
If you use the Service on behalf of a company or organization, you represent you have authority to bind that entity, and "you" refers to that entity.
1.4 Dealership Accounts
Dealership accounts are organizational accounts designed for automotive dealerships and professional photographers. When you create or join a dealership account:
- The dealership organization owns all projects, images, and data created by any team member.
- Access is controlled by the dealership administrator(s) who can invite users, assign roles (Admin, Manager, Photographer, Viewer), and remove team members.
- Your access and permissions are determined by your assigned role. Admins have full control; Managers can manage projects and team; Photographers can create and process projects; Viewers can only view completed projects.
- If your access is removed by an administrator or your employment/contract ends, you immediately lose access to all dealership projects and data.
- You may belong to multiple dealership organizations (e.g., as a freelance photographer). Each organization's data is kept separate.
2) The Service
2.1 Description
Auto AI Studio provides tooling to upload or capture images, apply AI-powered edits or transformations, and download results (the "Outputs"). The Service includes:
- Consumer Web Application: Image editing and creative projects for personal use.
- Dealership Platform: Professional vehicle photography processing, including VIN decoding, batch project management, guided photo capture, background removal, image categorization, and team collaboration tools.
- Mobile Applications: iOS and Android apps providing camera-based capture, VIN scanning, guided photo workflows, offline storage, and background upload capabilities.
2.2 Changes
We may add, remove, or modify features at any time, including beta or experimental features. We may impose or change usage limits (e.g., quotas, edits, points, credits) with notice.
2.3 Availability
We use commercially reasonable efforts to keep the Service available and secure, but downtime, maintenance, and outages may occur. Mobile app functionality may be limited by device capabilities, operating system restrictions, and network connectivity.
3) Plans, Billing, and Usage Metering
3.1 Plans
We offer both consumer and dealership plans:
- Consumer Plans: Free and paid plans with limits on edits/credits, project counts, retention periods, and features.
- Dealership Plans: Professional subscription plans ($389-$1,199/month) with monthly point allocations (750-2,500 points), unlimited project storage, team management, and advanced features. Dealership plans require payment during onboarding—no free trial is offered.
Plan details are described at checkout or on our pricing pages (app.autoai.studio for consumers, dealers.autoai.studio for dealerships).
3.2 Billing channels
Different parts of the Service use different billing channels:
- Consumer mobile app (iOS / Android). Subscriptions and one-time edit packs are purchased through and processed by the applicable platform store — Apple App Store In-App Purchase (iOS) or Google Play Billing (Android). Pricing, billing, renewal, and refund rules of the platform store apply. We never receive or store your payment card details for these transactions; we only receive a signed receipt or purchase token used to provision your entitlements server-side.
- Web (dealership and any web-purchased consumer plans). Billed via Stripe. You authorize us and Stripe to charge your payment method for recurring fees, taxes, and any add-ons/overages. We do not store full card numbers.
3.3 Auto-Renewal
Subscriptions auto-renew at the end of each billing cycle unless you cancel before renewal. Mobile subscribers can manage or cancel directly in the Settings app of their device (App Store → Subscriptions, or Google Play → Subscriptions); we cannot cancel platform-store subscriptions on your behalf. Web subscribers can manage or cancel in the app or via Stripe's Customer Portal (when enabled).
3.4 Trials & Promotions
If a trial is offered (consumer plans only), you'll be charged at the end of the trial unless canceled beforehand. Dealership plans do not offer free trials. We may modify or end promotions at any time.
3.5 Upgrades/Downgrades
Upgrades may take effect immediately and be prorated. Downgrades generally take effect at the next renewal. Feature limits apply after downgrade.
3.6 Taxes
Fees are exclusive of taxes. Where required, applicable taxes (e.g., VAT/GST) will be charged and remitted by us, Stripe, or the applicable platform store.
3.7 Refunds
NO REFUNDS: All fees are final and non-refundable once charged, regardless of usage. This includes subscription fees, one-time purchases, edits, credits, points, and any other paid features or add-ons. We do not provide refunds, credits, or prorated refunds for partial billing periods, even if you cancel your subscription or stop using the Service. Except where expressly required by law or stated otherwise in a separate written agreement signed by Auto AI Studio, all sales are final. For purchases made through Apple App Store or Google Play, refund requests must be submitted to the applicable platform store under its refund rules; we do not control and cannot guarantee platform-store refunds.
3.7a Restore Purchases (mobile)
The consumer mobile app provides a "Restore Purchases" option in Settings. Use this if a previously purchased subscription or edit pack is not reflected in your account after reinstalling the app or switching devices. Restoration is subject to your platform store account being the same one used for the original purchase.
3.8 Non-Payment
If a charge fails, we may suspend or limit your account until payment is completed. You remain responsible for amounts due.
3.9 Usage Metering: Edits, Credits, and Points
Consumer accounts use edits/credits to meter usage. Dealership accounts use a points-based system where each AI-processed image consumes one point from your monthly allocation. Images processed in "enhance only" mode (lightweight auto-enhance without AI background removal) do not consume points.
Dealership Overages: If you exceed your monthly point allocation, additional points are charged at $0.60 per point. Overage charges are billed at the end of your billing cycle.
Usage metrics (edits, credits, points) may expire or be adjusted for abuse, fraud, or system changes. They have no cash value and are non-transferable.
4) Your Content, License to Us, and Outputs
4.1 User Content
"User Content" includes images, prompts, text, metadata, Vehicle Identification Numbers (VINs), vehicle information, and other materials you submit. You retain ownership of your User Content, subject to the licenses granted in these Terms.
Dealership Content Ownership: For dealership accounts, all User Content, projects, and Outputs created by any team member belong to the dealership organization, not individual users. This includes vehicle photos, VIN data, processed images, and project metadata. Content ownership remains with the dealership organization even if team members leave or are removed.
4.2 License to Auto AI Studio
You grant Auto AI Studio a non-exclusive, worldwide, royalty-free license to host, cache, process, modify, reproduce, and display your User Content solely to provide and maintain the Service (e.g., run edits, generate Outputs, decode VINs, categorize images, store history/undo, deliver downloads, ensure security, prevent abuse).
4.3 Outputs Ownership
As between you and us, you own the Outputs to the extent permitted by law. For dealership accounts, the dealership organization owns all Outputs. Outputs may be similar to content generated for others. We do not claim ownership of your Outputs.
4.4 Review and Compliance
You are solely responsible for the review, vetting, and lawful use of User Content and Outputs, including any rights clearance (e.g., copyright, trademarks, design rights, publicity/likeness, property/venue rules). For vehicle photography, you represent that you have authorization to photograph and process the vehicles in question.
4.5 Backups & Deletions
Deleting content removes active copies; residual copies may persist in backups for a limited time. We may remove content that violates these Terms.
4.6 Published Projects, Video Clips & Promotional Use (Consumer Accounts Only)
This section applies only to consumer accounts. Dealership users cannot publish projects publicly; all dealership content remains private to the organization.
When you choose to publish a project or video clip publicly on Auto AI Studio (e.g., to our Explore feed, doomscroll reel, profile page, showcase, gallery, or community features), you grant Auto AI Studio an additional non-exclusive, worldwide, royalty-free, sublicensable license to:
- Host, display, transcode, thumbnail, watermark, embed, and stream your published project and associated images and video clips through the Service, including via web pages that do not require authentication;
- Feature your published content in our marketing materials, social media accounts, promotional videos, advertisements, and portfolio showcases;
- Create derivative works for promotional purposes, including but not limited to video compilations, before/after showcases, and social media content;
- Use your published content to demonstrate the capabilities of Auto AI Studio to potential users and partners.
This promotional license applies only to content you have explicitly chosen to publish publicly. Private/unpublished projects, garage cars, drafts, and Source Clips are not subject to this clause. We may, but are not obligated to, provide attribution when featuring your work. If you wish to have a previously published project or clip removed from public surfaces or from our marketing materials, you can unpublish it from within the app, and/or contact us at support@autoai.studio.
4.6a Recreation & Remix
When you publish a project or clip, you may choose whether to enable "Allow Recreation" / "Allow Remix" on that content. If you enable that option, you grant other Auto AI Studio users a non-exclusive, worldwide, royalty-free license to use the selected published image or clip as a starting point inside the AI tools to create their own derivative AI content within the Service. Recreated/remixed outputs become new projects owned by their creators (subject to Section 4.3) and do not transfer ownership of your original work. You can disable the recreation/remix option at any time for future viewers; previously created derivative works are not affected.
4.6b Community Interactions
By participating in community features (comments, likes, follows, bookmarks, profile information, social-link fields, blocks, reports), you agree that:
- Your username, display name, bio, avatar, banner color, and social links are publicly viewable on your profile page and in the feed;
- Comments you post on others' content are publicly viewable and may be displayed alongside that content;
- You will not post defamatory, harassing, hateful, sexually explicit, infringing, or otherwise unlawful content via comments, captions, profile fields, or report reasons;
- You can delete your own comments, unpublish your own content, and block users at any time from within the app;
- We may, at our discretion and consistent with Sections 5 and 16, remove community content, hide content based on report thresholds, restrict commenting, or suspend accounts.
5) Acceptable Use
You agree not to use the Service to:
- Violate any law, contract, or third-party right.
- Upload or process content you do not have rights or permission to use.
- Photograph or process vehicles without proper authorization.
- Use VIN data in violation of applicable privacy, consumer protection, or automotive industry regulations.
- Infringe or misappropriate intellectual property, privacy, or publicity/likeness rights — including uploading photos or videos of vehicles, people, locations, or brands you do not have the right to use.
- Generate defamatory, harassing, hateful, or illegal content, including AI-generated content depicting real, identifiable people in a false, misleading, or harmful context (so-called "deepfakes").
- Create or disseminate sexually explicit, exploitative, or otherwise harmful content. The Service is not designed for and may not be used to create adult or pornographic material.
- Use the Service to recreate or impersonate the work of another specific named creator, photographer, or brand in a way that would mislead a reasonable viewer about the source of the content.
- Attempt to re-identify private individuals without consent, or use a person's face, voice, or other identifying characteristic in AI-generated Outputs without their explicit permission.
- Use AI-generated Outputs to commit fraud, including fake vehicle listings, fake accident or damage claims, fake reviews, or any depiction intended to deceive a buyer, insurer, or regulator.
- Remove or alter copyright/trademark notices, watermarks, or AI-disclosure markers from Outputs, or use Outputs to imply false endorsement or sponsorship by an automotive manufacturer, dealer, or other brand.
- Abuse, probe, or interfere with the Service, its infrastructure, or third-party providers (e.g., rate limit evasion, reverse engineering, automated scraping outside allowed APIs).
- Circumvent usage limits, edits/credits/points, or paywalls.
- Upload malware or engage in fraudulent or deceptive practices.
- Access content, projects, or data beyond your assigned role permissions (for dealership users).
- Share dealership account credentials or impersonate other team members.
We may investigate and take appropriate action (including removal, suspension, or termination).
6) Third-Party Services
The Service integrates or relies on third-party services. The current list (subject to change) includes:
- Stripe — payment processing for web subscriptions (dealership plans).
- Apple App Store In-App Purchase and Google Play Billing — payment processing for consumer mobile subscriptions and edit packs; receipt verification.
- Google OAuth and Apple Sign-In — optional authentication providers.
- Supabase — authentication backend, database, and managed Postgres hosting.
- Cloudflare — CDN, edge Workers (our API gateway), Workers KV (entitlements and rate-limit ledger), R2 (object storage for your media), DNS.
- Render.com / Railway — server-side video normalization (trimming, frame-rate alignment, first-frame extraction) for AI Video Studio uploads.
- Google Gemini (Generative Language API) — AI photo editing, prompt rewriting/improvement, scene analysis on uploaded videos, vehicle identification and angle generation for "My Garage."
- Segmind (Seedance video model) — AI video clip generation and car-swap video generation.
- Stability AI — 4K image upscale.
- Unsplash — stock photo library used as a source of optional background/scene references in the AI Photo Studio (see §24).
- Auto.dev — VIN decoding (dealership users only).
- Roboflow — vehicle detection and angle classification.
- Resend — transactional email delivery (receipts, password resets, processing notifications, moderation reports, support emails) and marketing-list management.
- Expo Push Service (operated by Expo, Inc.) — delivery channel for push notifications (e.g., "your AI edit is ready," "someone commented on your project").
- Sentry — crash and error telemetry used to detect and diagnose application failures.
- Plausible Analytics and Google Analytics — aggregate usage metrics (website only).
These services have their own terms and privacy policies, summarized in our Privacy Policy. We are not responsible for third-party services, and no third party provides any warranty on our behalf. When using our mobile applications, you also agree to the applicable app store's terms of service (Apple Media Services Terms and Conditions or Google Play Terms of Service); in the event of a conflict between those terms and these Terms, the app store terms control with respect to your use of the app store.

7) Intellectual Property; Feedback
7.1 Our IP
The Service, software, documentation, and brand elements are owned by Auto AI Studio and its licensors and are protected by IP laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service as permitted by these Terms.
7.2 Feedback
If you provide ideas or suggestions ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use the Feedback for any purpose without restriction or compensation.
8) DMCA Policy (Copyright Notice & Takedown)
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a DMCA notice to:

Your notice must include: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the infringing material and its location; (4) your contact information; (5) a statement of good-faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and you are the copyright owner or authorized agent. We may remove or disable access to the content and, where appropriate, terminate repeat infringers.
If your content was removed in error, you may submit a counter-notification per 17 U.S.C. §512(g).
9) Privacy
Your use of the Service is also governed by our Privacy Policy, available at /privacy. The Privacy Policy explains how we collect, use, and disclose personal information.
10) Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ACCURATE, ERROR-FREE, SECURE, OR UNINTERRUPTED. AI-GENERATED RESULTS MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE FOR YOUR INTENDED USE. YOU ARE RESPONSIBLE FOR INDEPENDENT REVIEW, RIGHTS CLEARANCE, AND COMPLIANCE BEFORE USING OUTPUTS COMMERCIALLY.
Some jurisdictions do not allow disclaimers of certain warranties; in those cases, the disclaimers apply to the maximum extent permitted by law.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTO AI STUDIO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow limitations of certain damages; in those cases, the limitations apply to the maximum extent permitted by law.
12) Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Auto AI Studio LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content, prompts, or Outputs; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
13) Export, Sanctions, and Compliance
You must comply with all applicable export, sanctions, and embargo laws and regulations. You represent you are not located in, under the control of, or a national/resident of any country or entity subject to U.S. sanctions or on restricted lists. You will not use the Service for prohibited purposes.
14) Mobile Application Terms
When using our mobile applications (iOS and Android), the following additional terms apply. There are two distinct mobile apps: the Consumer mobile app (AI Photo Studio + AI Video Studio + community feed) and the Dealership mobile app. Where a sub-section is specific to one app it is labeled as such; otherwise it applies to both.
14.1 Device Permissions
The mobile apps request certain device permissions to function. We only request the permissions needed for features you use:
- Camera — required for photo capture (consumer + dealership) and VIN scanning (dealership).
- Photo Library / Media — required to select existing photos and videos for AI editing or upload. On iOS the app uses limited-library permission where supported, so you can grant access on a per-asset basis.
- Microphone — not currently required by the consumer app; if a future feature requires it, you will be prompted at that time.
- Device Sensors (accelerometer/gyroscope) — used locally on your device for camera angle detection during guided capture (dealership). Sensor data is not transmitted to our servers.
- Notifications — optional, used to alert you when an AI edit or video clip is ready, when someone interacts with your published content, or for team-related activities.
14.2 Local Storage on Your Device
The mobile apps store data locally on your device including authentication sessions (in the operating system's secure keychain), draft AI edit sessions, project metadata, captured photos and videos awaiting upload, and queued requests. You are responsible for ensuring your device has adequate storage space. We are not liable for data loss due to device issues, uninstallation, or storage limitations.
14.3 Background Processing
The apps may continue uploading photos or videos in the background when minimized. Background processing is subject to operating system limitations (e.g., iOS limits background tasks to approximately 30 seconds). Uploads may pause when the app is closed and resume when reopened or when connectivity is restored.
14.4 Connectivity Requirements
While the mobile apps support offline photo capture, full functionality requires internet connectivity for VIN decoding, image and video upload, AI processing, and real-time sync. Data charges may apply based on your mobile carrier's plan. AI image and video generation is performed on third-party cloud GPUs; on cellular connections you may experience longer total round-trip times.
14.5 App Store Terms
Your use of the mobile apps is also subject to the terms of service of the applicable app store (Apple Media Services Terms and Conditions or Google Play Terms of Service) and the applicable app store privacy notice. In the event of any conflict between these Terms and the app store terms, the app store terms will control with respect to your use of the app store. Apple end-user license. If you accessed or downloaded our iOS application from the Apple App Store, you acknowledge that: (i) these Terms are concluded between you and Auto AI Studio LLC only, and not with Apple Inc.; (ii) Apple has no obligation to provide maintenance and support services for the app; (iii) in the event of failure to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); (iv) Apple is not responsible for addressing any of your claims relating to the app; (v) Apple is a third-party beneficiary of these Terms with respect to the iOS app and may enforce them against you.
14.6 Updates
We may release updates to the mobile apps from time to time. Updates may be required for continued use. You are responsible for installing updates in a timely manner.
14.7 Account Deletion (Consumer App)
You may delete your consumer account at any time from within the app via the "Delete Account" option at the bottom of the Settings screen. You can also email support@autoai.studio from the address associated with your account to request deletion. Deletion removes your profile, your draft projects, your published projects and clips, your saved garage vehicles, your source video uploads, and your community interactions (likes, comments, follows, bookmarks, blocks, reports authored by you) from active systems within a commercially reasonable time, subject to limited backup retention as described in our Privacy Policy §6. Some information may be retained for legitimate purposes including fraud prevention, financial recordkeeping required by law, abuse moderation logs, and resolution of pending DMCA/legal claims. App Store / Play Store purchases are managed by Apple or Google and must be cancelled separately (Settings app → your account → Subscriptions); deleting your Auto AI Studio account does not cancel an active platform-store subscription, and you may be charged for any active billing period that has already begun.
15) Dealership Account Terms
The following additional terms apply to dealership accounts:
15.1 Team Management
Dealership administrators have full control over team access and can:
- Invite new team members and assign roles (Admin, Manager, Photographer, Viewer)
- Change team member roles at any time
- Remove team members, immediately revoking their access to all dealership data
- View all projects and activity within the dealership organization
15.2 Role-Based Access
Your permissions within a dealership account are determined by your assigned role:
- Admin: Full access including billing, team management, all projects, and settings
- Manager: Can create/process projects, manage team members (except other Admins/Managers), and view analytics
- Photographer: Can create projects, upload/capture photos, and process images
- Viewer: Can only view completed projects; no creation, upload, or processing permissions
You must not attempt to access features or data beyond your assigned role permissions. Violation may result in immediate removal from the dealership organization.
15.3 Data Ownership
All projects, images, VIN data, and Outputs created within a dealership account belong to the dealership organization, not individual team members. When you create content as part of a dealership, you acknowledge that:
- The dealership organization owns all rights to the content
- Content remains accessible to the dealership after you leave or are removed
- You cannot take dealership projects or data with you when your access ends
- Other team members with appropriate permissions can view, modify, and use your projects
15.4 Termination of Team Member Access
When a team member is removed from a dealership (voluntarily or by an administrator):
- Their access to all dealership projects and data terminates immediately
- They lose the ability to view, download, or process any dealership content
- Projects they created remain with the dealership organization
- Their authorship attribution remains in project metadata for audit purposes
15.5 Multi-Dealership Users
If you belong to multiple dealership organizations (e.g., as a freelance photographer), you acknowledge that:
- Each organization's data is kept completely separate
- You must respect the confidentiality of each organization's data
- You cannot share content between organizations without explicit permission
- You are responsible for ensuring you're working within the correct dealership context
15.6 Points and Usage
Dealership plans include monthly point allocations. Points are consumed by AI-processed images (one point per image). "Enhance only" images do not consume points. Points are organization-level resources and are not allocated to individual team members. The dealership administrator is responsible for monitoring usage and managing overages.
16) Suspension & Termination
We may suspend or terminate your access to the Service (and delete content) at our discretion if we believe you violated these Terms, pose a risk to others or the Service, fail to pay, or as required by law. You may stop using the Service at any time. Sections that by nature should survive termination (e.g., ownership, payments due, disclaimers, limitations, indemnities) shall survive.
Dealership Account Termination: If a dealership account is terminated (by cancellation or non-payment), all team members immediately lose access to the organization's projects and data. The dealership administrator is responsible for downloading any needed data before termination. After termination, dealership data may be retained for a limited period as specified in our Privacy Policy, then permanently deleted.
17) Governing Law; Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflicts of law principles.
17.2 Venue
Subject to the arbitration provision below, courts in Travis County, Texas will have exclusive jurisdiction, and you consent to personal jurisdiction there.
17.3 Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Austin, Texas, in English, before a single arbitrator. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Either party may seek injunctive relief in court to protect IP or confidential information. If you prefer not to be bound by arbitration, you must send a written opt-out notice to support@autoai.studio within 30 days of first accepting these Terms; otherwise, this clause applies.
18) Beta Features
We may label certain features as alpha, beta, or preview. These may be incomplete, change at any time, and may be subject to additional rules. You use them at your own risk and agree to provide feedback if requested.
19) Communications; Notices; Marketing List
Automatic Email Collection: By creating an account, you acknowledge and agree that your email address will be automatically added to our database and marketing communications list. This means you will receive both transactional emails (e.g., receipts, security alerts, service notices, processing notifications, team invitations) and marketing emails (e.g., product updates, promotions, announcements) from Auto AI Studio.
You can opt out of non-essential marketing emails at any time by using the unsubscribe link in any marketing email or by contacting us at support@autoai.studio. However, you cannot opt out of essential transactional emails while maintaining an active account.
Legal notices may be sent to the email address associated with your account and will be deemed delivered when sent.
20) Modifications to Terms
We may update these Terms from time to time. When we do, we will update the "Effective Date" above and may provide additional notice for material changes. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
21) General
21.1 Entire Agreement
These Terms, along with any referenced policies (e.g., Privacy Policy), constitute the entire agreement between you and Auto AI Studio regarding the Service.
21.2 Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
21.3 No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
21.4 Assignment
You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
21.5 Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control (e.g., outages, natural disasters, war, labor disputes, governmental actions).
21.6 Headings
Headings are for convenience and do not affect interpretation.
22) AI Video Studio — User Content & Rights
This Section 22 applies specifically to the AI Video Studio feature (including the "Source Video" car-swap workflow) within our consumer mobile application. It supplements, and does not replace, Sections 4 (Your Content), 5 (Acceptable Use), and 8 (DMCA Policy).
22.1 Source Material You May Upload
The AI Video Studio feature lets you upload a short video clip (the "Source Clip") and use AI to swap a character vehicle into it. We do not control where your Source Clip comes from. You may upload:
- Footage you filmed yourself (e.g., a car you saw at a meet, a track day, a cruise night, or your own vehicle).
- Footage filmed by someone else who has given you permission to use it (e.g., a clip a friend sent you of their car).
- Gameplay or screen-capture footage you are permitted to share under the relevant game's end-user license (e.g., Forza Photo Mode exports, Gran Turismo replays).
- Other footage you own, license, or are otherwise authorized to use for personal, non-commercial creative purposes.
22.2 Per-Upload Rights Attestation
Before each Source Clip upload, the app displays an in-product confirmation screen that requires you to expressly affirm that one of the categories in Section 22.1 applies to the specific clip you are about to upload. You may not bypass, automate, or circumvent this confirmation. By tapping "Continue" on that screen you:
- Represent and warrant that you have all rights, permissions, and licenses necessary to upload, process, and create derivative works from the Source Clip;
- Acknowledge that Auto AI Studio is relying on your representation in providing the AI Video Studio Service to you; and
- Agree to indemnify Auto AI Studio for any third-party claim arising from a breach of that representation, in addition to and not in limitation of Section 12.
We record the timestamp of each attestation and the exact wording you agreed to, and we retain that record for the same period as the corresponding clip metadata. We may produce that record in response to a lawful request, a DMCA notice, or an Apple/Google App Store inquiry.
22.3 Content You May Not Upload
Without limiting Section 5 (Acceptable Use), you specifically agree not to upload as a Source Clip:
- Material whose copyright, trademark, design right, trade dress, or publicity/likeness right belongs to a third party who has not authorized your use;
- Major-studio film or television footage, broadcast clips, music videos, advertising, or stock footage you are not licensed to use;
- Footage of identifiable individuals taken without their consent, where such consent is required by law in the applicable jurisdiction;
- Footage that depicts illegal activity, minors in any sexualized context, or content that violates Section 5; or
- Material whose presence in a paid AI generation pipeline is restricted by the terms of the platform you obtained it from (for example, terms-of-service prohibitions on commercial reuse).
22.4 Automated Content Screening
To reduce the chance that copyrighted material is processed by our AI providers, every Source Clip is automatically screened by third-party content classifiers before generation begins. Clips that the classifier flags as likely-copyrighted are rejected and no AI generation is performed; in those cases, no edits/credits are charged, and the rejected clip remains visible to you in your project history with a clear "We can't use that clip" status. Automated screening is a best-effort safeguard and is not a substitute for your obligations under this Section 22.
22.5 Storage, Retention, and Deletion
Source Clips are stored in our cloud infrastructure (Cloudflare R2) and used to (a) generate the requested AI Video output, and (b) maintain your project history. The raw uploaded file is deleted from our object storage shortly after successful normalization; a normalized version (used as the input to the AI generator) and a single extracted first-frame thumbnail are retained for the lifetime of the underlying project. You may delete an individual clip or your entire project at any time from within the app; deletion removes active copies from our systems, subject to limited backup retention as described in our Privacy Policy §6.
22.6 Outputs
AI Video Studio outputs ("Video Outputs") are subject to Section 4.3 of these Terms. Auto AI Studio does not claim ownership of your Video Outputs. However, the rights you have in any Video Output are no broader than the rights you had in the underlying Source Clip and character vehicle inputs — if you did not have the right to use the Source Clip, the existence of a Video Output does not cure that defect.
22.7 Reporting Infringing Content
If you believe a Source Clip or Video Output infringes your rights, please submit a DMCA notice under Section 8. We will act on properly formed notices in accordance with that section. We may, but are not obligated to, proactively remove content that we, in good faith, believe is infringing.
23) AI Photo Studio — User Content & Outputs
This Section 23 applies specifically to the AI Photo Studio feature within our consumer mobile application and supplements Sections 4 (Your Content), 5 (Acceptable Use), and 8 (DMCA Policy).
23.1 What You Provide
AI Photo Studio lets you upload one or more still images of vehicles (and, where applicable, scene reference images or stock photo selections from our integrated Unsplash search — see Section 24) and produce AI-edited or AI-generated images. You may provide:
- Photos of your own vehicle, taken by you;
- Photos of other vehicles that you took yourself with permission, or that the owner/photographer has authorized you to use;
- Photos you own outright or have a license to use for personal creative purposes;
- Free-form text prompts describing how you want the image edited.
23.2 Representations You Make at Upload
By submitting any image to the AI Photo Studio you represent and warrant that:
- You have all rights, permissions, and licenses necessary to upload, process, and create AI-derivative works from the image;
- Your prompt does not request content prohibited by Section 5 (Acceptable Use), including hateful, sexual, deceptive, infringing, or impersonation content; and
- Any people, places, brand marks, or third-party works visible in the image are present in a way that does not infringe their rights or violate applicable law.
Auto AI Studio is relying on these representations in providing the Service to you. Indemnification under Section 12 applies to any breach.
23.3 Car Swaps and Other Vehicle Likeness Edits
The "Car Swap," "Reframe," "Change Background," and similar tools can replace, alter, or recompose vehicles within an image. You agree that you will not use these tools to:
- Make a vehicle you do not own appear to be a vehicle owned by, sponsored by, or affiliated with a brand without the right to do so;
- Create images intended to deceive a buyer, seller, insurer, lender, regulator, or court (for example, fabricated listings, fake damage assessments, fake odometer readings, or fake registration plates);
- Apply protected trade dress, livery, sponsor decals, or logos in a manner that suggests false endorsement or affiliation.
23.4 Automated Safety Screening
Some AI Photo Studio tools route content through third-party model providers (currently Google Gemini and Stability AI). Those providers run their own automated safety classifiers (e.g., for sexual content, minors, violence, brand-mark abuse, and likeness misuse) and may refuse to process a given input. If a request is refused for that reason, we display a generic "We couldn't process that image" message and do not charge the edit. Automated screening is best-effort and not a substitute for your obligations under this Section 23.
23.5 Outputs
AI Photo Studio outputs are subject to Section 4.3. We do not claim ownership of your AI-edited images. However, your rights in an Output are no broader than the rights you had in the input image, prompt, and reference materials — if you did not have the right to use the input, the existence of an Output does not cure that defect.
23.6 4K Upscale
The "4K Upscale" tool sends the source image to Stability AI's upscale model, which returns a higher-resolution version of the same image. Upscaling does not change the rights position of the underlying image; if you cannot lawfully publish or distribute the source image, you cannot lawfully publish or distribute the upscaled output either.
24) Stock Photo Library (Unsplash)
Inside AI Photo Studio you can search a stock photo library to choose a background or scene reference for AI compositing. That library is operated by Unsplash and is provided under the Unsplash License. The following terms apply whenever you use that feature:
- License. Unsplash photos are made available to you, by Unsplash, under the Unsplash License (a free, non-exclusive, irrevocable copyright license to download, copy, modify, distribute, perform, and use them for free, including for commercial purposes, without permission from or attributing the photographer or Unsplash). You may not, however, sell unaltered copies of an Unsplash photo, or compile Unsplash photos to replicate a similar or competing service.
- Attribution. Although attribution is not legally required by the Unsplash License, the in-app search results display the photographer's name and link, and you agree not to remove that attribution metadata while content is displayed inside the Service.
- AI use. When you select an Unsplash photo as a scene reference, that photo is supplied as input to our AI image-generation provider (currently Google Gemini) to produce a composite output. The AI-composite output is yours subject to Section 4.3, but third-party rights (people in the photo, location restrictions, etc.) still apply.
- No endorsement. Selecting an Unsplash photo does not constitute endorsement by the photographer, by Unsplash, or by anyone depicted in the photo.
- Your search queries. Search query strings you enter into the in-app library search are routed to Unsplash to perform the search and may be logged by Unsplash under its own terms; see our Privacy Policy §18.
25) Vehicle Likeness, Brand Marks, and Third-Party Trademarks
The AI Photo Studio and AI Video Studio are designed for the automotive enthusiast community. References, depictions, names, and likenesses of real vehicles, manufacturers, models, races, and events that appear in or are generated by the Service are the property of their respective owners. Use of those references inside the Service does not constitute endorsement of, sponsorship by, or affiliation with the relevant manufacturer or rights-holder unless we expressly say so in writing. You are responsible for your own compliance with applicable trademark, design-right, and publicity-right laws, including where you publish, share, sell, or print Outputs.
